We’ve observed many doctors opting to negotiate directly with DSOs, believing it saves money. However, this approach often results in significant financial loss—amounting to millions in some cases—due to a lack of professional guidance. To address this, we’ve innovated a brokerage model specifically for DSO transactions, unparalleled in the industry.

Negotiating directly with a DSO often hurts sellers for two main reasons:

  1. Allowing the DSO to determine the practice’s EBITDA usually leads to undervaluation, as DSOs tend to manipulate numbers to reflect a lower EBITDA.
  2. The absence of competition in negotiations can diminish a seller’s leverage. While an independent seller might engage with a few DSOs, we bring over 40 potential DSO buyers to the table, creating a competitive environment that benefits the seller.

We can offer two different types of fee structures:

Option One:

Engage our services to introduce your practice to an expansive network of over 40 DSOs, leveraging our expertise throughout the entire process. In alignment with industry standards, our compensation is a percentage of the sale proceeds. We advise this route for the majority of our clients, confident in our ability to significantly enhance your returns compared to trying to do it on your own or through another brokerage company.

Option Two:

Create a competitive scenario on your own by entrusting us to review your existing offers that you’ve secured independently. We will then connect you with a DSO that is being highly competitive in the marketplace and aligns with your needs. In this arrangement, compensation is provided by the buyer/DSO, ensuring no expense on your part for our introduction service. Please note, that our role in this scenario is limited to facilitating the initial connection without ongoing guidance.

While maximizing your sale price is our primary aim, it’s crucial to consider various factors when affiliating with a DSO. The highest offer isn’t always the best fit for every seller. By introducing more DSO buyers into the negotiation, we aim to secure not just a lucrative deal but also the right partnership for you.
